- The Intellectual Property disclosure will inform users that the contents, logo and other visual media you created is your property and is protected by copyright laws.
- A Termination clause will inform that users’ accounts on your website and mobile app or users’ access to your website and mobile (if users can’t have an account with you) can be terminated in case of abuses or at your sole discretion.
- A Governing Law will inform users which laws govern the agreement. This should the country in which your company is headquartered or the country from which you operate your web site and mobile app.
- A Links To Other Web Sites clause will inform users that you are not responsible for any third party web sites that you link to. This kind of clause will generally inform users that they are responsible for reading and agreeing (or disagreeing) with the Terms and Conditions or Privacy Policies of these third parties.
- If your website or mobile apps allows users to create content and make that content public to other users, a Content section will inform users that they own the rights to the content they have created.
The “Content” clause usually mentions that users must give you (the website or mobile app developer) a license so that you can share this content on your website/mobile app and to make it available to other users.
Because the content created by users is public to other users, a DMCA notice clause (or Copyright Infringement ) section is helpful to inform users and copyright authors that, if any content is found to be a copyright infringement, you will respond to any DMCA take down notices received and you will take down the content. - A Limit What Users Can Do clause can inform users that by agreeing to use your service, they’re also agreeing to not do certain things. This can be part of a very long and thorough list in your Terms and Conditions agreements so as to encompass the most amount of negative uses.
Machine Control Middle East Trading LLC - Rental Terms and Conditions 2025 1. Offer 1.1. Subject to availability. 1.2. Valid for 14 days. 1.3. Minimum rental duration of 3 months. 1.4. Our reference must be mentioned in the PO. 1.5. The offer must be signed and stamped by Client Representative. 2. Delivery & Pickup 2.1. Delivery and Pickup charges are quoted separately, unless Client arranges this on their expense. 2.2. A signed PO is required prior to the mobilization of our MC-system. 2.3. The mobilization date of the MC-systems must be mentioned in the PO with a minimum prior notice of 2 weeks. 2.4. When off hiring, the pickup date must be communicated by email with a minimum prior notice of 2 weeks. 3. Installation, Calibration and Training 3.1. We provide 1 specialist for the installation, the calibration and the testing of our MC-system. 3.2. Training shall be given to operators and supervisors for a maximum of 3 hours. 3.3. Client to arrange, at their expense, senior accommodation and food, in case of more than 1 day requirement. 3.4. Client to needs to make sure that their Equipment and Assist Equipment and Manpower (such as welder, manlift, etc.) on site is ready and available for the installation. 3.5. If the installation of the MC-system is delayed due to the non-availability of any of the abovementioned in clause 3.4, the Client shall be charged 1,500 AED (excl. VAT) per day for the idle time of our specialist. 4. Transportation Mainland Projects 4.1. Transportation of our crew to UAE mainland projects is arranged by MCMET. 4.2. Any formalities required by local authorities and the project site such as - and not limited to - medicals, safety inductions, etc. must be arranged by the Client at their expense. 4.3. PPE Gear for Mainland projects (not related to Oil and Gas) is foreseen by MCMET. Any other gear must be provided by Client at their expense. 5. Transportation Offshore Projects 5.1. Sailing dates must be communicated in writing to MCMET with a notice of 2 weeks. 5.2. Transportation of our crew and systems to the agreed UAE Mainland Port shall be arranged by MCMET. 5.3. The transportation from UAE Mainland Port to Island Jetty (and back) and the onsite transportation must be arranged by Client at their expense. 5.4. Any formalities required by local authorities and the project site such as - and not limited to - medicals, safety inductions, etc. must be arranged by the Client at their expense. 5.5. Standard PPE Gear is foreseen by MCMET. Any other gear required on the project site must be provided by Client at their expense. 5.6. MCMET staff must be transported back immediately (or on the same day) from the offshore project site to the same Mainland UAE Port, after completion of their work. In case of delayed returns of our staff, a fixed cost of 2,500 AED (excl. VAT) per day shall be charged to the Client. 6. Transportation International Projects 6.1. Travel dates must be communicated in writing to MCMET with a notice of 2 weeks. 6.2. Transportation towards international projects (outside UAE) and the onsite transportation must be arranged by the Client at their expense. 6.3. Visa and other formalities required by local authorities and the project site, such as - and not limited to - medicals, safety inductions, etc. for MCMET staff must be arranged by the Client at their expense. 6.4. Standard PPE Gear is foreseen by MCMET. Any other gear required on the project site must be provided by Client at their expense. 7. Documentation required prior to mobilization 7.1. Signed and stamped quotation, 7.2. Signed and stamped PO, 7.3. Proof of payment. 8. Mobilization 8.1. The mobilization date shall clearly be mentioned in the signed PO. 8.2. Any project site related passes must be arranged by Client on their expense. 9. Technical Support 9.1. Three hours of training after installation is included. 9.2. Repairs and Remote Support are excluded from the rental rates and can be requested at additional cost. 9.3. Repairs can be remotely supervised by our specialist at an additional cost. 9.4. For rental of base station and rover the Client is responsible for the setup. 10. Liabilities 10.1. MCMET shall not be held liable for any costs resulting from the Client's Equipment. 10.2. MCMET is not responsible for the actions of Client's operators, such as – and not limited to – the non-achievement of project milestones, any damages to properties of Third Parties and the outcome of the performed works to the satisfaction of the Client and their Contractors. 10.3. The Client is liable for the salvage of our systems during offshore operations. 10.4. The client is liable for the loss or theft of the rented MC-systems and the provided spare parts or add-ons provided on their project site. 10.5. Damaged MC-systems and MC-spare parts, due to the misuse and negligence of Client operator, shall be paid by Client at price of a new item. 11. Invoicing 11.1. Our MC-systems are hired at a fixed and agreed rental rate, without any reductions due to any reasons. 11.2. The rent starts from the moment our MC-systems leave our warehouse in Dubai on the communicated mobilization date by the Client. 11.3. The rent stops from the moment our MC-systems arrive back at our warehouse in Dubai. 11.4. In case of delayed mobilization notices, the MC-systems are considered as rented from the 7th day after the mobilization date mentioned in the PO. 11.5. For international projects (outside UAE), the invoicing must be done from the UAE branch of the Client. 11.6. All prices are exclusive of VAT and other local taxes. 11.7. All prices are in UAE dirham (AED). 12. Payment Terms 12.1. Payments can be made in cash, wire transfer, by a PDC or any other form of payment guarantee. 12.2. In the case of cheques, PDC 30 days is required from the date of invoice and to the amount of 3 months rental per system, the installation cost and VAT. 12.3. Revisions to the sent invoices must be communicated in writing within 7 days of receipt. 12.4. In the case of rental extension, a new PO and a new proof of payment must be presented, within 7 days. 12.5. MCMET reserves the right to undertake any action if the payment terms are neglected by the Client.
